Custom Plate Terms
Global Tech LED makes custom plates to retrofit existing fixtures that Global Tech LED does not offer as new fixtures in our catalog. The cost for a new plate design is a one-time fee of $50.
The preferred method of making a custom plate for a fixture is to use a fixture to design the plate. In cases where a fixture cannot be sent or the customer refuses to send a fixture into Global Tech LED for plate design, Global Tech LED attempts to design the plate based off of cut sheets, photos, or other data the customer provides. In these situations the Global Tech LED will do everything possible including, sending out a demo plate for approval, and will work with the customer to come up with the best solution for the retro fit. Any modifications after the plate is designed, (per the details given for the retro fit), will have to be done by the customer in the field otherwise a new adder will be issued for plate design and the plates remade. Global Tech Led cannot guarantee plate accuracy if a fixture is not sent in for design. A fixture sent in for retro fit that does not have all the necessary components to fully test the retro fit, (glass, lid, mounting, and openings); Global Tech LED will also not be responsible for plate inaccuracy or heat issues. All jobs for retro fits should process through photo-metrics in order guarantee the correct light output as well as distribution. This process is free and can be completed as quickly as 1-2 business days. If the customer does not wish to go through photo-metrics because of prior knowledge of Global Tech LED’s products, Global Tech LED will not be responsible for incorrect or unwanted light distribution or output. Global Tech LED can provide a basic ratio of HID bulb – LED. This is only a basis of what the LED compares to. This ratio can widely vary depending on the job, which is why every job should process through photo-metrics. Global Tech LED will not be responsible for any liability or expenses if the plates do not fit, or the light distribution does not meet expectations.
If you are requesting a custom plate and a fixture cannot be sent in for design, Global Tech LED will not accept a return of the plate for a refund or credit or waive the $50 design fee. If another attempt at design is needed, Global Tech LED will charge for a new plate and design fee. Please sign and date below that you understand and agree to Global Tech LED’s policy with plate design when a fixture cannot be provided.
***IMPORTANT*** you must notify us of the cost of the fixture – insurance will be placed on the return shipment of the completed retrofit. If you do not provide us with this information, your fixture will be insured for $100 USD and GTL will not be liable for placing insurance on the fixture. The client will be responsible for the cost of additional insurance.
ALL SALES BY GLOBAL TECH LED (“GTL”) of the items
in our catalogs in our price list (as well as all “custom”
variations) are made pursuant to these standard terms
and conditions of sale. We will not be bound by the terms and conditions stated in a
customer's’ purchase order to the extent that the purchase order attempts to vary our
standard sales terms. The customer’s own resale terms and conditions shall be the
customer’s sole responsibility.
These terms and conditions constitute the entire agreement between GTL and customer, and
supersede all other communications between the parties, whether written or oral. No
purported modification or waiver of the provisions hereof shall be binding upon GTL for any
purpose unless it is contained in a writing signed by an authorized representative of GTL.
TERMS: Prepaid, net 30, 2% net 10. All customers are considered prepaid until credit has
been established. If you are interested in acquiring terms please contact the sales department
at Global Tech LED. Payments can be made by Check, Wire Transfer, ACH, and Credit Card.
Date of invoice shall be date of shipment. We reserve the right to invoice all orders at prices in
effect at time of shipment unless our quotation specifically stipulates otherwise. Past due
accounts are subject to a service charge equal to 1.5% per month, but in no event higher than
permitted by applicable law. In addition to such late payment service charges, costs and
expenses associated with collection of past due amounts, including reasonable attorney’s
fees, shall be added to amounts past due.
ORDER CONFIRMATION AND CHANGES: After being entered into our system, an order
confirmation will be sent via email. You will have 24 hours after receiving the confirmation
email to make any necessary changes to the order. After 24 hours the order will be in the
production process and considered correct. Any changes after entering the production
process may result in additional fees.
ORDER CANCELLATION TERMS: Cancellation of standard item orders (excluding Quick
Ship items) will be accepted only if made in writing and received within 5 days of order
confirmation. If a specific production is required to fill an order, written cancellation request
must be approved by us prior to production. Special or custom orders may not be cancelled
after Release of Order. A cancellation charge up to the price of the product will be made on
any special or custom items if same are cancelled after Release of Order.
VERBAL ORDER CANCELLATION WILL NOT BE ACCEPTED.
SAMPLES: Applicable with approved credit. To order a sample for trial purposes please remit
a purchase order to GTL, and note “Try or Buy” on the purchase order. Standard terms for all
trials are net 30 days. If you would like your terms extended please remit a request to GTL.PLATE POLICY: A $50 one time design fee will be charged for custom plates. If we have
already designed a plate for the specified fixture the fee will be waived. A sample fixture or the
dimensions of said fixture should be sent in for the plate design process. If we do not have the
specified fixture, a sample of the custom plate will be sent for testing in the specified fixture to
ensure proper fit. To skip the testing step the plate waiver form must be signed.
HOLD ORDERS: On those orders entered as “Hold for Release” or “Delivery date to be
furnished later,” GTL will provide a lead time on production and procurement of components
not normally stocked. Orders accepted under the condition of “Hold for Release”
must be released for production within 90 days of receipt by GTL. All orders not released
within 90 days may be subject to price escalation of 1/2% per month.
QUOTATIONS: All fixture quotations must be in the form of a written quotation from the
factory. Prices will remain in effect as specified on quotation. We reserve the right to withdraw
a quotation at any time before order is accepted by GTL. All prices subject to Federal and
State tax where applicable.
CUSTOMS and SPECIALS: Products other than those published here in our price sheet are
non standard and require factory review and approval. Contact factory Quotations for
approval, pricing and lead time.
RETURNS POLICY: All sales are final. However, in some cases returns may be allowed
within 30 days after original shipment date without restocking charges if product is in sellable
condition. No products will be accepted for return without our written approval and unless
accompanied by a properly authorized written “Return Goods Authorization” from GTL. Return
material must be in the current GTL price sheet, not identified as discontinued items and must
be in salable condition in a sealed original carton. All material must be received within 45 days
of the date replacements were shipped. All products to be returned must conform to the
current catalog descriptions. Return freight must be prepaid. Credit for returns will be allowed
only for the actual quantity received by GTL. Credit will be issued at our current published
price or at the price made on the specific invoice, from which will be deducted the expense for
return freight (if not prepaid), the initial freight charges if prepaid and a minimum restocking
charge of up to 20% of the invoice value. Material returned without authorization will be
accepted with no credit issued. Products appropriately returned for defects in material and
workmanship, or error in shipment as determined by GTL management will be accepted for
full credit without service charge upon inspection for such defects or errors. Special or
custommade plates cannot be returned for credit. Parts and/or components of complete
fixtures will be acceptable for return and credit with a restocking fee of up to 20%.SHIPPING DAMAGES: All products must be inspected upon delivery by shipper. Before
refusing a shipment please contact GTL for instructions on returning product. If product is
damaged in shipping from GTL notate the damage on the Bill of Lading from the shipper.

SHIPMENTS: Orders over $5,000 qualify for free freight within the continental U.S. for
standard ground shipping. Freight will not be paid by Global Tech LED for orders under
ERRORS & OMISSIONS: The GTL catalogs and price sheet are prepared for the
convenience of the user. Every effort is made to see that they are complete and accurate to
avoid error. GTL does not assume responsibility for any errors or omissions in its printed
material. GTL reserves the right to discontinue, modify, improve or change at any time
product specifications, designs or prices without incurring obligation.
ORDER INTERPRETATION: Unless exception is noted on our Order Acknowledgment we
will accept and process orders for standard catalog items in accordance with the latest
published catalog sheets. We will not be responsible for adherence to plans, specifications
and addenda unless they accompany the order and are accepted as such by GTL.
MODIFICATIONS: Any modification to a GTL product not made at the factory will void the
U.L. listing and the GTL warranty policy. This includes use of GTL products in, or in
conjunction with, products from another manufacturer.
STORAGE: Any detention, demurrage, storage or auxiliary charges assessed by carriers or
warehouses resulting from customer’s requirement for special service or failure to accept
delivery in a timely manner shall be paid by customer.
TOOLING: Charges for dies, tools or other equipment do not convey ownership or right to
possession therein to customer. All such tools, dies and equipment shall be and remain the
property of GTL, and GTL shall have the exclusive right to possession and control of such
FIELD REPAIRS: Any labor or material charges incurred for field repairs or replacements
must be preapproved by GTL. All requests must be made in writing and be accompanied by
a written estimate for all costs.IMAP POLICY: Global Tech LED (“GTL”) has adopted this Policy applicable to all Global Tech
LED customers effective Jan 1, 2015 with respect to the customers’ advertising over the
Internet of products supplied by GTL.
1. Each GTL customer remains free to establish its own resale prices. However, a customer
may not (a) advertise or otherwise promote GTL products over the Internet at a net price (final
price paid net of any discounts, coupons, promotions) that is less than the Internet Minimum
Advertised Price (IMAP) established by GTL or (b) sell GTL product to any other person who
advertises or otherwise promotes GTL products over the Internet at a net price less than the
IMAP established by GTL.
IMAP is equal to 68% of GTL MSRP
Example: $100 = MSRP per GTL

2. If a customer violates this IMAP policy, GTL will request the customer to cease advertising
or promoting products on the Internet in violation of IMAP policy. Failure to comply with our
requests will result in GTL ceasing to accept from and/or ship orders for said customer.
3. In executing this policy, GTL will act at all times unilaterally, and will neither solicit, consider
nor agree to any recommendation, request or demand of any other person. All matters of
interpretation and application of the terms of this policy and all matters concerning
enforcement of this policy shall remain with the sole, unilateral authority of GTL.
WARRANTY (rev:1.6.15): Subject to the exclusions set forth below, Global Tech LED, LLC.
(“Global Tech”) warrants its commercial Solstice light emitting diode (LED) engine, including
the LED arrays, fan, and integral control devices (“Products(s)”), to be free from defect in
materials and workmanship (the “General Warranty”) for a period of ten (10) years from the
date of shipment from Global Tech’s facilities or 50,000 operating hours, whichever is reached
first.. The LED arrays in the Product(s) will be considered defective in material or
workmanship only if a total of 10% or more of the individual light emitting diodes in the
Product(s) fail to illuminate. The supplied driver is warrantied for 5 years. Global Tech will
assist the customer in replacement of this product with the original OEM manufacturer. Global
Tech may choose to replace drivers with another OEM if necessary at its discretion. LABOR
COSTS ASSOCIATED WITH WARRANTABLE LED MODULE REPLACEMENT.
Global Tech LED may pay labor costs on a job with a 3% or greater failure rate due to a
product defect, up to $25 (twenty five dollars) per unit at GTL’s discretion, associated with
replacement of product deemed warrantable upon inspection of returned goods up to one
year from date of purchase. Invoices for labor must be sent to Global Tech LED along with
RGA (return goods authorization), and product to be inspected for warranty claim. If product
defect is considered warrantable upon GTL inspection, Global Tech LED will reimburse labor
expenses up to $25 per LED module. Projects asking for Labor cost reimbursements must
first get approval from GTL and be issued an RGA that includes labor costs. GTL will not be
responsible for equipment rental or other additional costs that may occur. *This program is
subject to change at GTL’s discretion. This Statement of Limited Warranty (“Warranty”)applies only when the Product(s) are installed in applications in which ambient temperatures
are within the range of specified operating temperatures and are operated within the electrical
values shown on the LED driver Label. Global Tech will not be responsible under this
Warranty for any failure of the Product(s) that results from external causes such as: acts of
nature? physical damage? exposure to adverse or hazardous chemical or other substances?
use of reactive cleaning agents and/or harsh chemicals to clean the Product(s)? environmental
conditions? vandalism? fire? power failure, improper power supply, power surges or dips,
and/or excessive switching? induced vibration? animal or insect activity? fault or negligence of
purchaser, any end user of the Product(s) and/or any third party not engaged by Global Tech?
improper or unauthorized use, installation, handling, storage, alteration, maintenance or
service, including failure to abide by any product classifications or certifications, or failure to
comply with any applicable standards, codes, recommendations, product specification sheets,
or instructions of Global Tech? use of the Product(s) with products, processes or materials
supplied by any end user or third party? or any other occurrences beyond Global Tech’s
reasonable control. Adequate records of operating history, maintenance, and/or testing must
be kept by the end user and provided to Global Tech upon request to substantiate that the
Product(s) have failed to comply with the terms of this Warranty. Neither polycarbonate non
acrylic material used in the Products is warranted against yellowing, as yellowing may
naturally occur over time due to normal aging. The Product(s) are not warranted against costs
that may be incurred in connection with changes or modifications to the Product(s) required to
accommodate site conditions and/or faulty building construction or design. In addition, the
Product(s) are not warranted against cost resulting from installation of a third party
components, failures of third party supplied components, or failures of Global Tech supplied
Product(s) caused by a third party supplied component.If Global Tech determines, at its sole
discretion, the Product(s) fail to comply with the terms of this Warranty, Global Tech, at its
option, will repair or replace the Product(s) with the same or a functionally equivalent
Product(s) or component part(s). This Warranty excludes labor and equipment required to
remove and/or reinstall original or replacement parts. This Warranty extends only to the
Product(s) as delivered to, and is for the sole and exclusive benefit of, the original end user of
the Product(s) at the original location. This Warranty may not be transferred or assigned by
the original end user. The repair or replacement of any Product(s) or component part within
the Product(s) is the sole and exclusive remedy for failure of the Product(s) to comply with the
terms of this Warranty and does not extend the Warranty period. Warranty claims regarding
the Product(s) must be submitted in writing within (30) days of discovery of the defect or
failure to an authorized Global Tech post sales or customer service representative. Product(s)
or component part(s) may be required to be returned for inspection and verification of non
conformance by Global Tech, but no Product(s) or component part(s) will be accepted for
inspection, verification or return unless accompanied by a “return authorization number” which
can be obtained only from an authorized Global Tech post sales or customer service
representative. Global Tech is not responsible for any costs and expenses incurred in
connection with shipment of Product(s) to Global Tech, but Global Tech shall bear all cost and
expense incurred in connection with shipment of replacement Product(s) to the customer.
THE FOREGOING WARRANTY TERMS ARE EXCLUSIVE AND IN LIEU OF ALL OTHER
WARRANTIES, AND GLOBAL TECH EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES,
EXPRESS OR IMPLIED, RELATING DIRECTLY OR INDIRECTLY TO THE PRODUCT(S),
WHETHER ORAL, WRITTEN, OR ARISING BY COURSE OF DEALING OR USAGE OF
TRADE, INCLUDING ,WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITYOR FITNESS FOR A PARTICULAR PURPOSE. NO AGENT, DISTRIBUTOR OR OTHER
SUPPLIER OF GLOBAL TECH PRODUCTS HAS THE AUTHORITY TO MODIFY OR
AMEND THIS WARRANTY WITHOUT EXPRESS WRITTEN AUTHORIZATION FROM
The total liability of Global Tech on any and all claims of any kind, whether in contract,
warranty, tort (including negligence), strict liability or otherwise, arising out of or in connection
with, or resulting from, Global Tech’s performance or breach of this Warranty, or from Global
Tech’s sale, delivery, resale, repair, or replacement of any Product(s) or the furnishing of any
services, shall in no event exceed the purchase price allocable to the Product(s) that give rise
to the claim, and any and all such liability shall terminate upon the expiration of the warranty
period specified above.
IN NO EVENT SHALL GLOBAL TECH BE LIABLE FOR ANY INDIRECT, SPECIAL,
INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF
INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER AS THE RESULT OF
BREACH OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT
LIABILITY, OR ANY OTHER THEORY, INCLUDING WITHOUT LIMITATION LABOR OR
EQUIPMENT REQUIRED TO REMOVE AND/OR REINSTALL ORIGINAL OR
REPLACEMENT PARTS, LOSS OF TIME, PROFITS OR REVENUES, LACK OR LOSS OF
PRODUCTIVITY, INTEREST CHARGES OR COST OF CAPITAL, COST OF SUBSTITUTE
EQUIPMENT, SYSTEMS, SERVICES OR DOWNTIME COSTS, DAMAGE TO OR LOSS OF
USE OF PROPERTY OR EQUIPMENT OR ANY INCONVENIENCE ARISING OUT OF ANY
BREACH OF THE FOREGOING WARRANTY OR OBLIGATIONS UNDER SUCH
Global Tech reserves the right to modify or discontinue this Warranty without notice provided
that any such modification or discontinuance will only be effective with respect to any
Product(s) purchased after such modification or discontinuance.For any questions regarding
